- Scope and Contracting Parties
- These Terms and Conditions govern all business relationships between Oceans Self-Healing GmbH (hereinafter referred to as “OSH”) and its customers concerning physical products (e.g., books), digital products (e.g., eBooks, audiobook downloads), and services offered through all channels provided by OSH, including but not limited to webshops and applications.
- The Terms and Conditions in effect at the time of contract formation shall apply.
- Services
OSH specializes in coaching and well-being services. The specific scope of services shall be determined by the individual agreement between OSH and the customer.
The parties acknowledge that, unless explicitly agreed otherwise, OSH does not guarantee any specific quantitative or qualitative outcomes in the performance of its agreed services (especially coaching services).
With respect to the content of service agreements entered into with OSH, OSH retains the right to determine how services are provided. OSH is entitled to deliver all agreed services digitally (e.g., via Zoom, Teams, Skype, TeamViewer, or similar platforms), unless in-person presence is explicitly required for the type of service. - Formation of Contract
Contracts between OSH and the customer may be concluded verbally (including via video or telephone), in text form (e.g., email), or in writing.
For contracts concluded verbally, the customer consents to OSH recording the phone call and/or video conference for evidence and documentation purposes. - Fees
The applicable fees are those in effect at the time the contract is formed, as specified in the respective offer.
Unless otherwise agreed, the customer is required to pay in advance. The agreed fee becomes immediately due upon invoicing and must be paid within seven days. The customer may only exercise the right of set-off or retention if their counterclaims have been legally established or are undisputed. - Prices, Due Date, and Payment
- All prices include statutory value-added tax.
- Price fluctuations, particularly those arising from currency exchange rates, may occur. The price specified at the time of the offer is decisive.
- Only the payment methods displayed to the customer during the order process are accepted.
- Default
If the customer is in default of payment, OSH reserves the right to withhold further services until outstanding payments have been settled. In such cases, a debt collection procedure may also be initiated. - Term and Termination
The contract is fixed for the duration agreed upon in the individual agreement (initial term). Early ordinary termination is excluded.
Unless otherwise explicitly agreed, the contract shall automatically renew for the duration of the initial term unless terminated by either party at least four weeks before the end of the initial term or the respective renewal period. - Customer Reviews
- By submitting a review, the customer grants OSH the right to display the content across all channels, such as physical stores, online shops, e-readers, and OSH’s or affiliated companies’ social media platforms. OSH reserves the right to edit, shorten, or limit the display period for reviews. Reviews reflect the customer’s opinions and do not necessarily represent the views of OSH.
- Customers may not share reviews that violate applicable laws or these Terms and Conditions.
- Reviews are prohibited from including the following:
a) Offensive language or vulgar expressions.
b) Obscene or inappropriate content.
c) Defamatory or malicious statements.
d) Spoilers that may impair a book’s reading experience.
e) Spam or fraudulent reviews with promotional intent.
f) Irrelevant content unrelated to the item.
g) Time-sensitive information (e.g., prices, shipping conditions).
h) Comments not meaningfully addressing the content of the item.
i) Personal information such as addresses, emails, or phone numbers.
j) External links or references to third-party providers.
k) Duplicate reviews or nonsensical content.
- Liability
All cases of contract breaches and their legal consequences, as well as all claims by the customer regardless of their legal basis, are conclusively governed by these Terms and Conditions.
Under no circumstances shall OSH be liable for damages that do not relate to the product itself. This limitation also applies to the personal liability of OSH’s employees, agents, and other representatives. Liability exceeding the order value is excluded. Products must be used solely for their intended purposes; any other use requires prior written consent.
The services provided constitute purely professional service activities, with no guarantee or obligation of specific success. All participants are responsible for their insurance coverage. The transmission of data, whether physical or electronic, occurs at the customer’s risk.
